These Terms of Service ("Terms") govern your access to and use of Vellem ("Vellem", "we", "us", "our"), including the Vellem website, the brand kit builder, the kit hosting service, and any related products or services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to use the Service. By using the Service you represent that you meet these requirements and have the legal authority to enter into these Terms, either personally or on behalf of an entity you represent.

2. Account and use

You may use the Service to create, preview, purchase, and download brand identity assets ("Kits"). You are responsible for the content of your inputs, including any brand names, taglines, or descriptive text you submit. You agree not to submit content that violates our Acceptable Use Policy.

The Service does not require an account for the free preview. Purchase requires providing an email address for delivery. You are responsible for keeping access to your email account secure; we are not responsible for unauthorized access to your kit page if your email is compromised.

3. Pricing and payment

Vellem Kit. A one-time purchase at the price displayed at checkout, currently $149 USD. The Kit is the required base purchase for all individual customers; you receive the full 18-asset brand identity and perpetual access to your private kit page.

Vellem Pro add-on. An optional monthly subscription that may be added to your Kit at checkout or anytime afterward from your account page. Pro is not available as a standalone purchase; it is always an add-on to a Kit. Current price: $19 USD per month with the first month free. Specifically:

Cancellation of Pro. Cancellation takes effect immediately for the free trial month (no charge occurs on day 31). For paid months, cancellation takes effect at the end of your current billing period. We do not pro-rate partial months. After cancellation: (a) you retain perpetual access to your Kit and every brand kit you generated while subscribed, with full commercial rights; (b) you lose the ability to generate new kits and to use Pro-only features; and (c) we will not charge you again unless you re-subscribe.

White Label. A $499 USD one-time setup fee plus $49 USD per month for ongoing platform access. White Label is a separate tier for design studios and agencies and is not subject to the Kit + Pro add-on model. Setup begins after an introductory call. Cancel anytime; cancellation takes effect at the end of your current billing period.

Taxes and currency. Prices are stated in USD and exclusive of taxes; applicable sales tax, VAT, or GST will be calculated and shown before you complete payment. All payments are processed by Stripe (or our then-current processor) and are subject to the processor's terms.

Price changes. We may change prices, introduce new tiers, or discontinue tiers at any time. Existing Kit purchases are not affected. For Pro and White Label subscribers, we will provide at least 30 days' notice by email before a price increase takes effect on your subscription. You may cancel before the change to avoid the new price.

4. License to your Kit

Upon successful purchase, we grant you a perpetual, worldwide, non-exclusive, transferable, royalty-free license to use the Kit assets for any lawful commercial or non-commercial purpose, including modification, distribution, and use across all media. You may use the assets for products you sell, services you offer, marketing materials, social media, packaging, and signage.

You may not (a) resell the Kit itself as a brand identity package to another party, (b) claim authorship of the underlying generation system or templates, or (c) use the Kit in a way that infringes on third-party rights. Vellem retains no claim of ownership to your finished Kit content beyond what is necessary to operate the Service.

5. Kit delivery and download windows

Finalization period. After successful payment, your Kit enters a finalization period during which we vectorize your logo system, generate the brand book PDF, and package the complete Kit ZIP. Finalization typically completes within approximately 10 minutes.

In-browser temporary download link (Kit only, no Pro). Once finalization completes, a temporary signed download link is presented on your success page in the browser. This in-browser link is valid for fifteen (15) minutes after finalization completes, after which it expires and can no longer be used. Closing or refreshing the browser tab does not extend this window. The fifteen-minute clock continues to run whether or not the tab remains open.

Email download link (Kit only, no Pro). Upon finalization, we send a separate email to the address associated with your purchase, containing an alternate signed download link. This email link is valid for twenty-four (24) hours from the time it is sent. Approximately two (2) hours after the initial delivery email, if our records show the link has not yet been used, we may send a single reminder email containing the same link. The reminder does not extend the twenty-four-hour window; both links expire on the same schedule.

Pro subscribers. If you have an active Pro subscription at the time of finalization, your Kit is added to your Vellem account and the download link in your account does not expire while your subscription is active. The fifteen-minute and twenty-four-hour expirations described above do not apply to Kits delivered under an active Pro subscription. If your Pro subscription lapses, your account retains the Kit, but a permanent download link may be replaced with a time-limited one consistent with the non-Pro terms above for any subsequent download requests.

Expired link re-issue. If your in-browser and email links both expire and you have not downloaded your Kit, you may email hello@vellem.io to request one (1) re-issue of your download link, free of charge, within thirty (30) days of your original purchase date. The re-issued link will follow the same fifteen-minute or twenty-four-hour expirations as the original delivery. After this one-time re-issue, additional re-issues may be available at our sole discretion or by upgrading to Pro, which grants permanent access through your account.

Customer responsibility. You acknowledge and agree that you are solely responsible for downloading and storing your Kit within the applicable download windows. Vellem is not obligated to retain your Kit beyond what is necessary to fulfill these obligations. Failure to download your Kit within the applicable windows is not, by itself, grounds for a refund, except as expressly set forth in our Refund Policy.

Storage and deletion. Non-Pro Kits are stored in our temporary delivery system for at least twenty-four (24) hours and are deleted within seven (7) days of finalization unless the customer has an active Pro subscription. Kits associated with an active Pro subscription are retained for the duration of the subscription. Generated asset metadata may be retained longer for fraud prevention and to support the one-time re-issue described above. See our Privacy Policy for details on data retention.

6. Intellectual property and originality

Each Kit is generated from your inputs and our proprietary system. While we take reasonable steps to minimize similarity between Kits, we cannot guarantee that your Kit is wholly unique compared to all other brand identities that exist or have ever existed. You are solely responsible for performing trademark searches and other due diligence appropriate to your jurisdiction before using your Kit commercially.

Vellem makes no representation that your Kit is registrable as a trademark or that it does not conflict with any existing trademark, copyright, or other proprietary right. If you intend to register your brand identity as a trademark, we strongly recommend consulting a trademark attorney.

The Vellem name, the V mark, the website design, and our underlying generation system are owned by Vellem and protected by intellectual property laws. You may not copy, modify, or create derivative works of these elements.

7. Content restrictions

You may not use the Service to create brand identities or content that is unlawful, infringing, defamatory, hateful, harassing, sexually explicit, or that promotes violence, illegal activity, or discrimination against protected classes. See our Acceptable Use Policy for details. We reserve the right to refuse service, decline to generate, or revoke access to any Kit that violates this section, without refund.

8. Refunds

Because the Service provides a free preview before payment, and because delivered Kits are non-returnable digital goods, we generally do not offer refunds. See our Refund Policy for the limited circumstances in which a refund may be issued.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT YOUR KIT WILL ACHIEVE ANY SPECIFIC BUSINESS OR MARKETING OUTCOME.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VELLEM, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VELLEM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Vellem from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party right.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the licenses granted to you for purchased Kits will survive provided that you are not in material breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms will be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to a jury trial and to participate in a class action.

If you are located in the European Union or United Kingdom, you may have rights under your local consumer protection laws that supersede certain provisions of this section. We will honor those rights where applicable.

14. Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms at this URL with a new "Last updated" date. Material changes will be communicated by email to active customers where reasonable. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
